So you are negotiating a term sheet or a license. We are all eager to sign the deal but do you know what each article really means in real life in business, quite distinct from legal implications? The subtle language in an agreement can make your partnership or alliance a living hell or can be a relatively ‘happily ever after’ story. The operational implications and the articles can have long-reaching effects and can make a strong value impact- the numbers on the paper may not be quite what they look like. Discuss and learn from the clauses in a real license agreement and the now popular option agreement.
